Terms of Service
Effective September 19, 2026. Issued by Finance Operating System. Governed by the laws of the State of Florida, United States.
1. Agreement
These Terms of Service (the "Terms") are a legally binding agreement between you and Finance Operating System ("Finance Operating System," "we," "us," or "our"). They govern your access to and use of the Finance Operating System websites, applications, APIs, and related services (the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms, the Privacy Policy, the Acceptable Use Policy, and, where applicable, the Data Processing Addendum and Refund Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Service
Finance Operating System is a web-based financial operating system for bookkeeping, invoicing, bills, banking connections, payroll add-ons, reporting, period close, and related workflow tools, including optional AI assistance. Features may vary by plan and may change as we improve the Service. We may offer pre-release or beta features; those are provided as-is and may be modified or withdrawn at any time.
Finance Operating System is software. We are not your accountant, bookkeeper, tax preparer, auditor, lawyer, or fiduciary, and the Service is not a substitute for professional advice. You remain responsible for the accuracy of your books, filings, and compliance with tax, employment, and accounting rules that apply to you.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract under the laws of the State of Florida, United States. The Service is intended for business use.
You are responsible for the accuracy of account information, for safeguarding credentials and authentication factors, and for all activity under your organization. Organization owners may invite and remove members and control roles. Notify us promptly at security@financeoperatingsystem.com of any unauthorized access.
4. Subscriptions, trials, and billing
Paid plans are billed in U.S. dollars at the rates shown on our pricing page, plus applicable taxes. New organizations receive a 14-day trial unless we state otherwise. You may cancel at any time; access to paid features continues through the end of the then-current paid period, as described in the Refund Policy.
Unless you cancel, subscriptions renew automatically. Pass-through fees (including payroll provider, tax filing, payment-processing, and bank-connection fees charged by third parties) are billed as incurred and are not part of the base subscription refund rules.

5. Taxes
Fees are exclusive of taxes. You are responsible for taxes associated with your purchase, except taxes on Finance Operating System's net income. If we are required to collect tax, we will add it to your invoice unless you provide a valid exemption certificate.
6. Customer data
You retain all rights in the data you submit to the Service ("Customer Data"), including ledger records, invoices, contacts, and files. You grant Finance Operating System a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service, to prevent abuse, and to comply with law.
You may export Customer Data from the product (including CSV export from Settings) while your account is active. After termination we delete Customer Data as described in the Privacy Policy, except where retention is required by law or for legitimate dispute, security, or billing records.
7. Intellectual property
The Service, including software, designs, documentation, and trademarks, is owned by Finance Operating System and its licensors. These Terms do not transfer any ownership to you. You may not copy, modify, reverse engineer (except to the extent this restriction is prohibited by law), or create derivative works of the Service.
Feedback you provide may be used by Finance Operating System without restriction or compensation.
8. Acceptable use
You must comply with the Acceptable Use Policy. We may suspend or terminate access for violations, suspected fraud, unpaid invoices, legal process, or risk to the Service or other customers.
9. Third-party services
The Service may integrate with third parties (including Stripe, Plaid, payroll providers, email delivery, OCR, and AI model providers). Those services are governed by their own terms. We are not responsible for third-party services we do not control. Bank connections, where offered, are read-only through our provider; we do not receive your bank login credentials.
10. AI features
Optional AI features (including Copilot) send the prompts and context needed to generate a response to our model provider. Outputs can be wrong, incomplete, or outdated. You must review and approve AI suggestions before posting them to your books or sending them to third parties. Do not use AI features as the sole basis for legal, tax, or audit conclusions.
11. Confidentiality
Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and will protect it with at least reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without duty of confidentiality, or that must be disclosed by law (with notice where legally permitted).
12. Privacy and cookies
Our Privacy Policy and Cookie Policy describe how we collect and use personal information. If you process personal data of individuals in the EEA, UK, or Switzerland through the Service, the Data Processing Addendum applies.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE STATE OF FLORIDA, UNITED STATES, Finance Operating System DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR ACCOUNTING, TAX, OR LEGAL REQUIREMENTS.
14. Indemnification
You will defend, indemnify, and hold harmless Finance Operating System and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of Customer Data, your use of the Service, your violation of these Terms or law, or your dispute with a third party (including your customers, vendors, employees, or tax authorities).
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE STATE OF FLORIDA, UNITED STATES, Finance Operating System WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO Finance Operating System FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW AND SURVIVE TERMINATION.
16. Term and termination
These Terms start when you first accept them or use the Service and continue until terminated. You may stop using the Service and cancel as described in the Refund Policy. We may suspend or terminate for material breach, non-payment, legal risk, or discontinuation of the Service, with notice where reasonably practicable.
Sections that by their nature should survive (including ownership, disclaimers, indemnities, limitations of liability, and governing law) survive termination.
17. Export, sanctions, and anti-corruption
You may not use the Service if you are located in a comprehensively sanctioned jurisdiction or are a denied or restricted party under U.S. export or sanctions law, including programs administered by OFAC. You will not use the Service to violate anti-bribery, anti-money laundering, or similar laws.
18. Changes
We may update these Terms. The effective date at the top of this page will change. Material changes will be posted on this page and, where required, notified by email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel.
19. Governing law and venue
These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules that would apply another jurisdiction's law.
Exclusive jurisdiction and venue lie in the state courts of the State of Florida and the United States District Courts sitting in Florida. You and Finance Operating System consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY FLORIDA LAW. Claims must be brought in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding, except where such waiver is unenforceable under applicable law.
20. Miscellaneous
These Terms are the entire agreement regarding the Service and supersede prior agreements on that subject. If a provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent, except to a successor in connection with a merger or sale of substantially all assets; we may assign to an affiliate or successor. Failure to enforce a provision is not a waiver. Notices to you may be sent to your account email. Notices to us must be sent to legal@financeoperatingsystem.com. Electronic signatures and records are valid under the Florida Uniform Electronic Transaction Act.
